Before removing a director, the organization has to ensure that the director meets one of the following thresholds:
- Resigns and submits a resignation letter to the company
- Is declared bankrupt or makes any amendments with their creditors
- Is removed from office as per Regulation 96 of Part I of Table “A” or Article 32
- Becomes of unsound mind
- Is banned from the director position by reasons stipulated under Section 189 of the Act
